Abstract

The relevance of the topic. Approaches to assessing the performance of the Board of directors require modernization, taking into account the specifics of the organizational and legal provisions of public joint stock companies, as well as changes in institutional and socio-economic conditions in Russia. The need to expand the range of methods and tools for evaluating the performance of the Board of directors is due to the growing demands of stakeholders for the quality of its work and the sustainable growth of companies as a whole. Goal. Development and approbation of a methodology for evaluating the performance of the Board of directors of Russian companies based on public information. Methodology. The research uses general scientific methods and techniques: analysis, synthesis, analogy, generalization, comparison, abstraction, as well as statistical methods and methods of economic analysis. The methodological framework is based on modern versions of methodological recommendations on the evaluation of the Board of directors, as well as methodologies for assigning corporate governance ratings. The information base of the empirical part of the study contains the reports of Russian public joint stock companies included in the National Corporate Governance Rating. Results and conclusions. The research identified trends in the formation and functioning of the Board of directors caused by changes in regulatory and advisory documents regulating the corporate governance process, as well as by requirements of stakeholders, in particular, the transition to a balanced board of directors and the expansion of functions in the field of ESG activity control. The study also developed a methodology for evaluating the performance of the Board of directors of Russian public companies, which differs in evaluation criteria, the composition of relevant indicators, the scoring system, the scale of interpretation of the results obtained and meets the requirements of modern theory and practice of corporate governance. Based on the results of the evaluation of the performance of the Board of directors of Russian public companies included in the National Corporate Governance Rating, the study formulated recommendations for their improvement using the proposed methodology. Scope of application. Improving the composition, structure, and performance of the boards of directors of Russian public companies in order to improve the quality of corporate governance.
